FAA Bylaws 2026

CHANGES TO FAA BYLAWS

Notice of Proposed FAA Bylaws Amendments
To be Presented for Members Approval
At the September 10, 2026 Meeting
6 pm at The Gallery at 48 Natoma

The FAA Board of Directors has been working on a variety of changes to its operations intended to stimulate broader membership participation in the activities of the association and facilitate succession planning for future leadership of the organization.

With elections on the horizon for three of our Board of Director positions, the first step of this project involves amendments to the bylaws as relates to selection of directors. We are proposing:

  • Changes to the Nominating Committee process for selecting candidates for board membership. The Committee would have a broader role in recruiting potential candidates, garnering information on their qualifications, and presenting the candidates’ qualifications for member vote. Of note, the Committee would no longer recommend a “slate” of preferred candidates; and candidates would not be running for any particular seat on the Board. Rather, the top vote getters would win Board Director seats; and
  • once seated, the Board of Directors would appoint the officers, by majority vote. (Responsibilities for specific activities would be determined by the Board as part of each year’s planning and budgeting.)
  • Additionally, we hope to establish a more robust committee structure, and populate those committees with more non-Board members, not only to spread the workload, but also to afford more – and more meaningful – opportunities for members to volunteer their assistance in running our activities and programs. This, too, serves the ultimate goal of “broadening the bench” for better succession planning.

Our current bylaws require that any changes affecting the voting rights of the members must be approved by the members. To see the specific changes involved, see Proposed Amendments to Article III – Directors and Officers.
